# Arrakis terms of service

Last updated October 30, 2026.

These terms are a contract between you and The Good AI Labs Inc., a Delaware corporation ("Good AI Labs", "we", "us"), which runs Arrakis. They cover arrakis.goodailabs.com, the console, the API, the command-line tool and the MCP server: everything that runs on this site's address. By creating an account or using Arrakis, you accept them. If you don't accept them, don't use Arrakis. Our [privacy policy](/privacy) explains what we keep about you and why.

**Please read these sections closely: Machines and your data, Costs you cause, No warranty, Limits on our liability, Indemnity, and Law and disputes.** They limit what we're responsible for, make you responsible for what you run, and require disputes to be brought one by one, in Delaware, without a jury.

## Who can use Arrakis

- You must be 18 or older and able to enter a binding contract.
- If you use Arrakis for a company or another organization, you accept these terms on its behalf and confirm you're allowed to. "You" then means that organization, and it's responsible for everyone who uses Arrakis for it.
- You can't use Arrakis if:
  - you're located in, or ordinarily resident in, Cuba, Iran, North Korea, Syria, the Crimea, Donetsk or Luhansk regions of Ukraine, or any other country or region that comes under comprehensive US sanctions, or you're a national of one of those countries;
  - you're named on a US, UK, EU or UN list of sanctioned or restricted parties, such as the Specially Designated Nationals list, the Entity List or a military end-user list, or you're owned 50% or more by such parties; or
  - you act for anyone in these groups, or would pass Arrakis or its machines on to them.
- We may refuse to open an account, accept a payment or rent a machine, for anyone or any place, as the law allows.
- Arrakis is built for developers and companies. If consumer law where you live gives you rights that terms like these can't take away, nothing here limits them.

## What Arrakis is

- Arrakis rents you GPU machines that independent providers ("hosts") run on their own hardware, in their own data centers. We find the machines, start and stop them for you, meter them and bill you. We don't own or operate the hardware.
- Hosts are independent businesses. They aren't our employees, agents or partners, and we don't control their facilities, staff, security, networks or uptime. Beyond the refunds and credits in these terms, we aren't responsible for what a host does or fails to do.
- We may change the hosts, markets and other suppliers we use at any time, without notice.
- Arrakis is in early access. Features may change, break or end, and anything marked preview or early access may be less reliable.

## Your account

- Give us accurate details and keep your email address current. We write to it about your account, your payments and changes to these terms.
- You're responsible for all activity on your account and all its charges, whether or not you authorized them: through any of its sign-in methods, through its API tokens, by the scripts and AI agents you give tokens to, and by anyone you give access. Keep passwords and tokens secret. If you think someone else has one, revoke it in the console and write to arrakis@goodailabs.com at once.
- A token can be limited by scope, spend cap, longest rental and expiry. You choose those limits, and what a token does within them counts as done by you, including an AI agent's mistakes. Set limits you can afford to lose. A token with the billing scope can turn on auto-recharge, which charges your saved card, so give agents only the scopes they need, such as read and rent.
- Spend caps, removal times, **Stop everything** and the stop that comes when your balance runs out are safety tools, not guarantees. They depend on hosts and networks responding, and a stop can come late. Keep an eye on your machines and your spending.
- Don't open accounts to get around a hold or a closure.
- We may ask you to confirm who you are, where you are or what you run, for example to meet sanctions, export or anti-fraud rules. Until you do, we may put your account on hold.

## Prices and taxes

- Prices are per GPU-hour, in US dollars. A machine's hourly price is that rate times the GPUs you rent.
- You see the price before you rent, and it's locked for that machine when you rent it. Prices for new rentals change with supply.
- If a price or a charge is plainly wrong because of a mistake, ours or a host's, we may correct it. For a running machine, we tell you first, and you can stop it before the corrected price applies.
- Prices don't include taxes. You're responsible for all taxes, duties and levies on your use of Arrakis, other than taxes on our income. If the law requires us to collect a tax, we add it and show it before you pay. If the law requires you to withhold tax from a payment to us, you add enough that we still receive the full amount.

## Paying

- Arrakis is prepaid. You add funds to your balance first, and rentals spend it.
- You can pay by card, Link or Apple Pay through Stripe, which handles your card details; we never see your card number.
- Payments have a minimum, and one payment can be no larger than our payment processor accepts. The Billing page and our docs show the current limits. We may change them at any time, for example to prevent fraud.
- Your balance is a prepayment for Arrakis, not a deposit or stored money. It earns no interest, can't move to another account, and is paid out only as the refund rules below allow.
- Credit we give you for free has no cash value. It may expire, and we may take it back if it was obtained by breaking these terms.
- **Auto-recharge.** If you save a card or Link for auto-recharge, you authorize us to charge it the amount you set whenever your balance falls under the threshold you set, would last less than 3 hours of the machines and volumes you're running, or can't pay a machine's next hour, as often as that happens. A declined charge turns auto-recharge off, and we tell you why. You can turn it off at any time.
- If you think a charge is wrong, tell us within 30 days of it. After that it's final, unless the law gives you longer.

## How rentals are billed

- A machine's first hour is charged when it starts running, not when you rent it. Every machine that starts is billed at least one hour.
- Each later hour is charged as it begins. A started hour counts in full.
- A machine is billed from when it starts running until it's removed, whether or not you use it. Starting up is free, and a machine that never starts costs nothing.
- **Spot** machines can be taken back by their host at any time, with no notice. You're charged only for the hours they ran. Search and the rent page say which machines are spot.
- Nothing is charged after a machine's removal time. You can set one when you rent, and move or cancel it later.
- If a rental is refused, for example because your balance can't pay its first hour or renting is paused, nothing is charged.
- When your balance can't pay a machine's next hour, and auto-recharge can't top it up, that machine stops and is removed, renting pauses, and your other machines stop when the hour they already paid for ends. Add funds and renting opens again by itself.
- Rentals never cost more than you added, with two exceptions: a payment that's refunded, reversed or disputed after you spent it, and a billing error we correct because it charged you too little. Either can take your balance below zero. You must pay the difference within 14 days, and we may charge a saved payment method for it. This doesn't limit a dispute fee, or what you owe under Costs you cause or Indemnity.

## Refunds and credits

- **A machine that never started.** A machine that never starts running is never charged. If you were charged for a machine that never became usable because of a fault on our side or its host's, write to us within 7 days; when our records confirm it, we put the charges back.
- **A machine whose host failed.** Once a machine has failed, or its host has taken it back, we charge no more hours for it. If its host stopped working before that, we give back the hours charged from then on, automatically. If a host fault made your machine unusable in a way we didn't catch, write to us within 7 days; when our records confirm the fault, we credit the hours charged from the fault on. The console's Support page shows what we found and any credit.
- **A machine that wasn't as listed.** If a machine clearly isn't what its listing said, for example it has fewer or different GPUs, stop it at once and write to us within 7 days. If we confirm it, we credit what it was charged.
- **Credits** go to your balance and have no cash value. For one machine, they never add up to more than it was charged.
- **Your only remedies.** For a machine that fails, doesn't start, runs slowly, loses its network or its data, doesn't match its listing, or is taken back by its host, the refunds and credits in this section are your only remedies.
- **Other hours.** Hours that have started are otherwise not refunded, including hours you didn't use.
- **Unused balance.** Ask us, and we refund the unused part of what you paid in the last 90 days to the payment method it came from, most recent payment first, minus any fee the payment provider kept on it. Older balance stays on your account to use. Free credit is never refunded.
- **When we end things.** If we stop offering Arrakis, close your account for a reason other than a breach, or you close it because you don't accept a change to these terms, we refund all the unused part of what you paid: the last 90 days' payments as above, older ones by bank transfer, minus the payment provider's and banks' fees.
- **Disputes.** Please write to us before you dispute a charge with your bank; it's usually faster. A disputed payment comes off your balance and puts your account on hold, which stops its machines, until the dispute is settled. If the charge was valid, you also owe us the fee our payment provider charged us for the dispute.
- **Closing your account.** If you close your account, we refund unused balance under these rules, and balance they don't cover ends with the account, as far as the law allows. If we close an account because its owner broke these terms, we may first keep what the breach cost us, such as chargebacks, dispute fees and the cost of handling abuse, as far as the law allows.

## Machines and your data

- You get root access. You're responsible for securing your machine (your keys, your open ports, your software and your data) and for everything that runs on it or is sent from it, even if someone broke into it, unless they got in through our systems or its host's.
- **Treat every host as able to see inside your machine.** A host has full access to the server your machine runs on. It can technically read, copy or change what's on the machine, including its files, memory, environment variables and network traffic, and we can't check whether it does. Don't put anything on a machine that you can't afford to have seen or changed, such as private keys, wallet seed phrases or long-lived passwords. Use short-lived credentials, and change any secret you used on a machine once it's gone. We aren't responsible if a host or anyone else gets into a machine, unless they got in through a breach of our own systems.
- **Machines can share a server.** A machine can run on the same server as other renters' machines. Hosts are meant to keep them apart, but we can't check, and no separation is perfect.
- **Listings come from hosts.** A machine's GPUs, specs, location, speed and reliability come from what hosts report and from automated checks. They're our best information, not a promise, and they can change.
- **Nothing on a machine is kept.** Removing a machine deletes everything on its disk, `/workspace` included. A machine is removed when you stop it, at its removal time, when your balance can't pay for it, when your account is put on hold, when it fails, or when its host takes it back. Copy what you need off it first.
- **Volumes** keep data after a machine is removed, but they live on our suppliers' storage and can be lost. A volume is extra storage, billed apart from machines: once a day, for the data it holds, at the price our docs and the console show before you create one. That charge is owed even when your balance can't cover it. Each month, reading data back from a volume is included up to the amount of data it holds; if reads go well beyond that, we may ask you to cut them down or, after telling you, charge the extra reads at the price in our docs. We may delete a volume, after telling you, 30 days after its account closes or goes on hold, or once its balance has stayed empty for 30 days.
- **No backups.** We back up neither machines nor volumes. Keep your own copy of anything important: we aren't responsible for data that's lost, corrupted or deleted, unless we caused it deliberately or through gross negligence.
- **Sensitive data.** Arrakis isn't built for regulated data. Keep health records, payment card data, classified or export-controlled data, and any other data that a law or contract says must be protected in ways a host can't promise, off machines. We don't sign business associate agreements or anything similar. If you put personal data about other people on a machine, you're responsible for having the right to, including the right to let a host access it.
- **Your own images.** You may run images of your own, public or private. You confirm that you have the rights and licenses to run them, and the right to give us any registry login you add. We check the image with that login, keep it encrypted, and give it to our suppliers, who store it and pass it to the host only to pull that image when you rent. Use a login that can only read. A host may keep the pulled image, or the login, after your rental ends, so keep secrets out of your images and their environment variables. Removing an image deletes its login from our systems and our suppliers'.
- **Arrakis images** are provided as they are. They're built from open-source software under its own licenses, and we don't promise they're free of bugs or security flaws. Keep your software up to date.
- **Your content stays yours.** You keep all rights to your code, data, models and images. You give us, and the hosts and suppliers we use, only the permission needed to run, store, copy, cache and move them as you ask. You're responsible for your content, for having every right and consent it needs, and for what your workloads produce, including the output of models you train or run.
- **Arrakis stays ours.** We keep all rights in the service, the console and the hosted MCP endpoint; you may use them as these terms allow. The command-line tool, with its local MCP server, is open source under the Apache License 2.0, which governs that code; using it with Arrakis falls under these terms. If you send us ideas or feedback, we may use them freely, without paying you.
- **Other services.** Arrakis works with services we don't control, such as Stripe, GitHub and Google sign-in, container registries, and the networks between you and a machine. Their own terms apply to them, and we aren't responsible for them.

## Availability

- Arrakis has no uptime guarantee and no service level. Machines can fail, slow down, lose their network or be taken back by their host, and a machine you saw in search may be gone when you rent.
- We may pause new rentals at any time, for example to protect machines that are running. Nothing is charged for a refused rental.
- We may stop a machine at once if its host, a supplier or the law requires it, or to protect Arrakis, other users or hosts.
- We may change, add or remove features, GPU types, hosts and regions at any time.
- If we stop offering Arrakis, we tell you as early as we can, aiming for at least 30 days, and refund unused balance as Refunds and credits describes.

## Reselling

- You may resell, rent out, sublease or share what you rent on Arrakis, including access to your machines such as SSH, under your own name and at your own prices, without asking us. You may also run your own products and models on it and sell them.
- What your customers do counts as done by you under these terms: you're responsible for it, for making sure they follow Acceptable use, and for not letting anyone barred under Who can use Arrakis use it.
- Give your customers access to machines rather than to your account. An API token you give someone spends your balance, as Your account says.

## Reserved GPUs

- A reservation holds GPUs for you alone for a term. The GPUs, how many, the term, the start date, the price and whether you take them as bare metal (whole servers with your own operating system) or as machines with root SSH are set in a reservation agreement we both sign. Where that agreement and these terms differ, the agreement wins.
- Unless the agreement says otherwise, you pay 25% of the reservation's total when you sign it and the rest monthly, in advance, over the term. A reservation is paid for the whole term, whether or not you use its GPUs.
- You may resell, sublease or share reserved GPUs as Reselling says, and move a reservation to another company by telling us who takes it on.
- The agreement sets any service level a reservation has. Without one, Availability applies.

## Acceptable use

Use Arrakis only lawfully. Don't do any of the following, and don't let your tokens, your agents or anyone you give access do them:

- Break the law, or store, run or share illegal content.
- Create, store or share child sexual abuse material. We have zero tolerance: we close the account at once, keep what the law requires, and report it to the authorities (in the US, the National Center for Missing & Exploited Children).
- Create or share sexual images of a real person without their consent, or deepfakes meant to deceive, defraud or defame.
- Create, host or spread malware, ransomware, phishing pages or botnets.
- Attack any system or network. That includes denial-of-service attacks, hacking, scanning or probing systems you don't own or haven't been given written permission to test, credential stuffing and password guessing.
- Send spam or other unsolicited bulk messages, or run open proxies, relays, VPNs or Tor exit nodes for others.
- Mine cryptocurrency, or run any proof-of-work, proof-of-space or similar workload.
- Access or interfere with a machine's host, other renters' machines or data, our suppliers' systems or ours. Don't try to break out of a machine's container, and don't tamper with its hardware, firmware or drivers, or with the software that monitors, meters or verifies it.
- Get around a spend cap, a payment limit, metering, billing or the stop that comes when your balance runs out.
- Infringe anyone's copyright, trademark, privacy or other rights, or process personal data without a lawful basis.
- Break export-control or sanctions law. That includes using Arrakis from or for a sanctioned country, region or party; for military, military-intelligence or weapons-of-mass-destruction end uses; or for anything that needs an export license you don't have.
- Run anything where a failure could cause death, injury, or serious physical or environmental damage, such as controlling medical devices, vehicles, aircraft, weapons or critical infrastructure.
- Misrepresent who you are or where you are, including by hiding your location.
- Use Arrakis to harass, threaten or harm other people.
- Do anything that leads a host, network or other supplier to restrict, suspend or blocklist our accounts, addresses or machines.

We don't watch what runs on machines and have no duty to. We may look into any report or sign that these rules were broken, and you agree to help, including by answering abuse reports about your machines. If we believe the rules were broken, we may stop machines, remove images, put your account on hold or close it. When the harm is serious or ongoing, or a host, supplier or authority asks us to, we act first and tell you after; otherwise we ask you to fix it first. We tell you why, unless the law or an investigation stops us. We may share information about your account and its use with the host, network or authority that reported the abuse, and with law enforcement, when we believe it's needed to stop abuse or the law requires it.

## Copyright complaints

If you believe something on Arrakis infringes your copyright, write to arrakis@goodailabs.com with "Copyright" in the subject. Include: the work you say is infringed; the material and where it is, such as a machine's address or an image's name; your name, postal address, phone number and email; a statement that you believe in good faith the use isn't authorized by the owner, its agent or the law; a statement that your notice is accurate and, under penalty of perjury, that you're the owner or allowed to act for them; and your physical or electronic signature. We may stop the machine or remove the material, and we tell the account holder. If you believe your material was removed by mistake, you can send us a counter-notice as US copyright law describes. We close the accounts of repeat infringers.

## Holds, suspension and closing

- You can close your account at any time by writing to arrakis@goodailabs.com from its email address. Copy your data off your machines first: closing removes them.
- We may put your account on hold, which stops every machine at once and pauses renting, or close it, if:
  - you break these terms, or we reasonably believe you did;
  - a payment is disputed or looks fraudulent;
  - you don't confirm who you are or where you are when we ask;
  - the law, a court, a regulator, our payment provider or a supplier requires it;
  - a host, a network or an authority reports abuse from your machines;
  - we need to protect Arrakis, our suppliers, hosts or other users; or
  - we stop offering Arrakis.
- We may also close any account for any other reason, with 30 days' notice, and refund its unused balance as Refunds and credits describes.
- A hold lasts until we lift it. Machines stopped by a hold are removed, with their disks.
- When an account closes, its machines are removed, its data is deleted as our privacy policy says, and you still owe anything you owed. Every section that by its nature should keep applying does, including those on paying, refunds, your data, costs you cause, the disclaimer, liability, indemnity, and law and disputes.
- We aren't liable for anything that follows from putting an account on hold, closing it or stopping a machine in good faith under these terms.

## No warranty

**As far as the law allows, Arrakis is provided "as is" and "as available", with all faults, and we make no warranties or promises, express or implied**, including of merchantability, fitness for a particular purpose, title, non-infringement, accuracy or quiet enjoyment. We don't promise that Arrakis or any machine will be available, uninterrupted, secure, fast or free of errors or harmful code; that listings, specs or prices are accurate; that data on machines or volumes will be kept, private or intact; or that your workloads will produce any result. Hosts and other suppliers are independent, and we make no promise for them. Nothing in our docs, our marketing or anything our staff say adds a promise to these terms.

## Limits on our liability

- **As far as the law allows, neither we nor our affiliates, suppliers or hosts are liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, business, data, compute time, work or goodwill, or the cost of substitute services**, however caused and whatever the legal theory, including contract, negligence and strict liability, even if we were told they were possible.
- In particular, beyond the refunds and credits in these terms, we aren't liable for losses caused by:
  - a host, network, payment provider or other third party;
  - a machine or volume failing or losing data, or someone else getting into it or changing it, unless they got in through a breach of our own systems;
  - a machine stopping or being removed for a reason these terms describe;
  - a safety tool acting late;
  - anyone using your account or tokens, unless they got your tokens from our systems; or
  - content, images or software that you or others provide.
- **Our total liability for all claims about Arrakis, together, is limited to the greater of US$100 and the charges for rentals and other services on your account in the 3 months before the event that led to the first claim.** This limit doesn't reduce a refund of unused balance that these terms promise.
- These limits apply even if a refund or credit doesn't make up for your loss. They're part of the price: without them, Arrakis would cost more.
- Nothing in these terms limits a liability that the law doesn't allow to be limited, such as for fraud, or for death or personal injury caused by negligence.

## Costs you cause

When you or anyone using your account breaks these terms, you pay what it costs us, even when no one else makes a claim. That includes a supplier's charges and penalties, money a supplier won't return, credits we give other users because of it, and the cost of handling it. We may take it from your balance or charge a saved payment method.

## Indemnity

As far as the law allows, you'll defend, indemnify and hold harmless Good AI Labs, its affiliates, and their officers, directors, employees, contractors, suppliers and hosts against any claim, demand, investigation or proceeding by a third party or an authority, and against the losses, damages, fines, penalties, settlements and costs, including reasonable legal fees, that come from:

- your workloads, content, images and models, and what they produce;
- your use of Arrakis, and anyone's use through your account or tokens;
- anything run on or sent from your machines, including by someone who broke into them, unless they got in through our systems or the host's;
- your breach of these terms or of the law;
- a dispute between you and your own users or customers; or
- a host or other supplier suspending, limiting, charging or claiming against us because of how your account used Arrakis.

We tell you about a claim we want you to cover. We may run the defense ourselves at your cost, or let you run it. You may not settle a claim in a way that admits fault for us or binds us to anything without our written consent.

## Changes to these terms

We may change these terms, and the date at the top changes with them. For a change that matters, we tell account holders by email or in the console at least 14 days before it takes effect, unless a law or a security need requires it sooner. Using Arrakis after a change takes effect means you accept it. If you don't, close your account before then, and we refund your unused balance as Refunds and credits describes. A change doesn't apply to a dispute that arose before it took effect.

## Law and disputes

- These terms, and any dispute about Arrakis, are governed by the laws of the State of Delaware and the federal law of the United States that applies there, leaving aside conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods doesn't apply.
- **Talk to us first.** Before bringing a claim, write to arrakis@goodailabs.com, describe it and say what you want. Most problems are fixed faster that way. If we haven't resolved it within 30 days, either of us may go to court.
- **Courts.** Disputes go only to the state or federal courts located in Delaware, and both of us agree to their jurisdiction. Either of us may instead bring an individual claim in a small claims court that has jurisdiction. We may also ask any court for an order to stop abuse of Arrakis or to protect our rights.
- **One by one.** Claims may be brought only individually, not as a plaintiff or class member in any class, collective or representative action, and no claim is joined with another person's without both of our written consent.
- **No jury.** As far as the law allows, both of us give up any right to a jury trial.
- **One year.** As far as the law allows, a claim must be brought within one year after it arises, or it's barred. For money you owe us, or a claim under Costs you cause or Indemnity, the year starts when we pay or are asked to pay.
- If the law of your country gives you a mandatory right to bring a claim at home, or under its own law, these terms don't take that away.

## General

- These terms and the prices shown when you rent are the whole agreement between us about Arrakis, and you haven't relied on any statement that isn't in them. Our docs describe how Arrakis works, but they don't add promises. Our privacy policy explains how we handle personal data; it isn't part of this contract.
- If part of these terms can't be enforced, it's enforced as far as it can be, and the rest still applies.
- If we don't enforce a term straight away, we can still enforce it later.
- We may transfer these terms, for example to an affiliate or to a company that takes over Arrakis. You may transfer them only with our written agreement.
- Neither of us is responsible for delays or failures caused by events beyond reasonable control, such as power or network outages, cyberattacks, natural disasters, war, government action, shortages, the failure of a host, market, cloud provider or payment provider, or a supplier suspending or limiting our accounts, including because of another user's conduct. This doesn't excuse paying what you owe.
- We're independent parties. These terms give no rights to anyone else, except the people and companies that the liability and indemnity sections protect.
- We send notices to your account's email address, and they count as received when sent. Send yours to arrakis@goodailabs.com. You agree to receive notices and records electronically.
- "Including" means "including without limitation". Headings are only there to help you read.
- If a translation of these terms differs from the English, the English applies.
